Agreement
By accessing the platform or website, you agree to these terms. If you accept on behalf of a company, you confirm that you are authorised to bind that company.
If you do not agree, do not use the service.
Accounts and access
Access is granted per named user and scoped by role, company and tenant. You are responsible for keeping credentials confidential and for activity under your account.
You must notify us promptly of any suspected compromise. We may suspend access to protect the platform, data or other customers.
Subscription and fees
The commercial scope, term, fees and payment schedule are set in the order form. Fees are exclusive of taxes unless stated otherwise.
Late payment may lead to suspension after notice. Fees for services already delivered are non-refundable unless the order form says otherwise.
Customer data
You own the operational data you enter. You are responsible for its accuracy, its lawful collection and the rights needed to process it.
You grant us the limited right to process customer data to provide, secure and support the service, as described in the order form and privacy policy.
Acceptable use
You must use the platform only for lawful business purposes.
- Do not attempt to access another tenant's data or bypass access controls.
- Do not upload malware, unlawful content or data you lack the right to process.
- Do not probe, scan or stress the platform without written authorisation.
- Do not resell, sublicense or reverse engineer the service except as permitted by law.
- Do not use the platform to send unsolicited messages or violate marketing rules.
Intellectual property
The platform, its software, documentation, design and trademarks belong to NEXORA or its licensors. These terms grant a limited, non-exclusive, non-transferable right to use the service during the subscription term.
Feedback you provide may be used to improve the product without obligation to you.
Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform the agreement. This does not apply to information that is public, independently developed, or required to be disclosed by law.
Confidentiality obligations survive termination for the period stated in the agreement.
Availability, support and changes
We aim to keep the platform available and secure. Planned maintenance is communicated in advance where practicable.
We may improve or change features. We will not materially reduce core functionality during a paid term without notice.
Support scope and response targets are set in the order form or support plan.
Third-party services
The platform may connect to third-party services such as hosting, payments or messaging. Those services are governed by their own terms, and we are not responsible for them beyond the commitments in our agreement.
Integrations you enable are your responsibility to configure and monitor.
Disclaimers
The platform is provided as a business tool. It does not replace professional, legal, tax or medical advice. You remain responsible for decisions made using the platform and for statutory filings.
To the extent permitted by law, the service is provided without implied warranties, including fitness for a particular purpose and uninterrupted or error-free operation.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental or consequential loss, or for lost profits, revenue or data, arising from the agreement.
Our aggregate liability is limited to the fees paid for the service in the twelve months before the claim, unless the law or the signed agreement provides otherwise.
Termination
Either party may terminate for material breach that is not cured within the notice period. We may suspend access immediately for unlawful use or a security risk.
On termination, access ends and customer data is handled under the retention and export terms of the agreement. You are responsible for exporting data before the end of the term.
Governing law
These terms are governed by the laws of the Kingdom of Saudi Arabia. The courts of Riyadh have jurisdiction, unless the signed agreement selects another forum.
Before starting a dispute, the parties will attempt to resolve it in good faith through their account managers.
Changes to these terms
We may update these terms to reflect changes in the service or the law. The date at the top shows the latest version. Changes apply from publication; material changes will be communicated through the platform or by email.
